- CALL TO ORDER
President Garvin called to order a meeting of the Board of Governors of the Dalmatian Club of America held by
telephone conference call on Monday, December 8, 2008, at 7:45 PM. DCA Governors present in addition to Dr. Garvin
were Mr. Kenneth Berg, Mrs. Sharon Boyd, Mr. John Cramer, Mrs. Meg Ispas-Hennessey, Dr. Mary-Lynn Jensen, Mrs.
Diana Skibinski, and Mrs. Sheila Wymore, as well as AKC Delegate Mr. James W. Smith.
- BUSINESS
The business of this conference call was to fill the vacancy in the Dalmatian Club of America Board, Class of
2010. It was previously noted in the agenda that the Dalmatian Club of America By Laws, Section 5.5 MEETINGS states
The Board of Governors may conduct its business by mail through the Secretary and by conference call, provided a
quorum takes part. Conference calls must be confined to a limited agenda or emergency decision and ratified in
writing by members of the Board.
The Board has exchanged numerous emails discussing options of methodologies and detailing how previous Board
vacancies were filled. Mr. Cramer made a motion that the Board appoint Robert Lawson to fill the vacancy in
the DCA Board, Class of 2010. The motion was seconded by Mrs. Wymore. Further discussion ensued noting
previous precedents. Mr. Berg moved to amend the motion so that the Board selects the candidate to fill
the one-year vacancy by appointing the fourth highest vote getter in the upcoming election. The amended motion
was seconded by Dr. Jensen. More discussion followed. The amendment failed by majority with Mrs. Wymore,
Mrs. Skibinski, Mrs. Hennessy, Mrs. Boyd, and Mr. Cramer opposed and Mr. Berg and Dr. Jensen in favor. The main
motion passed by majority with Mrs. Wymore, Mrs. Skibinski, Mrs. Hennessy, Mrs. Boyd, and Mr. Cramer in favor and
Mr. Berg and Dr. Jensen opposed. Robert Lawson will fill the vacancy in the Dalmatian Club of America Board,
Class 2010.
